1. Definitions
- Meenu: Meenu, Inc., provider of the AI ordering platform.
- Customer: the natural or legal person entering into an agreement with Meenu.
- Platform: the Meenu dashboard, the AI waiter, and all associated APIs, mobile apps and websites.
- Guest: the end user who places an order with the Customer via QR code or mobile app.
- Subscription: the plan chosen by the Customer, including the corresponding fee and usage rights.
2. Applicability
These terms apply to every offer, agreement and delivery between Meenu and the Customer. Deviating terms from the Customer only apply if accepted in writing by Meenu.
3. Registration and account
On registration the Customer provides accurate and complete details and keeps them up to date. The Customer is responsible for the confidentiality of login credentials and for all activity on the account. Suspected misuse must be reported immediately to support@meino.io.
4. Subscription, pricing and payment
Access to the Platform is granted on the basis of a continuing subscription. Unless otherwise agreed, invoices are billed monthly or yearly in advance via Stripe. All prices are exclusive of VAT.
If payment is not made within fourteen days, Meenu may suspend access to the Platform. Meenu may index the subscription price annually based on the Dutch CBS Consumer Price Index; any additional price changes will be announced at least 30 days in advance.
5. Usage rights
Meenu grants the Customer a non-exclusive, non-transferable right to use the Platform for the duration of the subscription. The Customer may not reverse-engineer, copy or resell the Platform to third parties without prior written consent.
6. Customer obligations
- Use the Platform only for legitimate business purposes.
- Do not upload content that infringes third-party rights or violates the law.
- Ensure correct allergen and ingredient information on the menu.
- Properly inform Guests about the processing of their personal data.
7. Intellectual property
All intellectual property rights in the Platform, including source code, designs, trademarks and AI models, belong to Meenu or its licensors. The Customer retains rights in its own content, such as menus, logos and photos, and grants Meenu a licence to use these solely to provide the service.
8. Data Processing Agreement (DPA)
To the extent Meenu processes personal data on behalf of the Customer in providing the service, Meenu acts as a processor within the meaning of Article 28 GDPR. The terms are set out in the Data Processing Agreement, which forms an integral part of these terms of service. See also our privacy policy.
9. Availability and SLA
Meenu will use reasonable efforts to maintain availability of 99.5% per month, excluding scheduled maintenance windows. Scheduled maintenance is announced at least 48 hours in advance. Outages can be reported via support@meino.io.
10. Liability
Meenu's liability per event and per calendar year is limited to the amount the Customer has paid to Meenu in the twelve months preceding the event giving rise to the damage, up to a maximum of €25,000. Meenu is not liable for indirect damages, including consequential damages, lost profits, lost revenue or reputational harm.
The limitations in this article do not apply in the case of intent or wilful recklessness of Meenu or its executives.
11. Force majeure
Neither party is liable for failures resulting from force majeure, including failures at sub-processors, internet outages, cyber attacks on third parties, government measures or natural disasters.
12. Termination
Either party may terminate the subscription at the end of each term subject to a one-month notice period. In the event of a serious attributable breach, bankruptcy or suspension of payment, the agreement may be terminated immediately.
After termination, data remains available for export for 30 days, after which it is permanently deleted, except for data that must be retained longer by law.
13. Changes to the terms
Meenu may unilaterally amend these terms. Material changes are announced at least 30 days in advance. If the Customer objects, it may terminate the subscription as of the effective date of the change.
14. Governing law and disputes
These terms are governed by Dutch law. Disputes that cannot be resolved by mutual agreement will be submitted to the competent court in Amsterdam.
